Agreement to Terms
These Terms of Use ("Terms") form a binding agreement between you, whether acting personally or on behalf of a business ("you," "your," or "Merchant"), and Undercover Payments sp. z o.o. ("AxiomePayments," "we," "us," or "our"), governing your access to and use of the AxiomePayments website and platform, including any related mobile or web applications (collectively, the "Service").
By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.
We may update these Terms from time to time. We will update the "Last updated" date when we do, and your continued use of the Service after a revision takes effect means you accept the updated Terms. You are responsible for checking back periodically.
The Service is intended for users who are at least 18 years old and who have the legal capacity to enter into a binding contract in their jurisdiction.
Description of Services
AxiomePayments is a payment infrastructure platform that allows merchants to accept payments from their customers and receive settlement according to the merchant agreement, including payments processed through third-party payment providers.
AxiomePayments is compensated through fees agreed with each merchant, deducted automatically as part of the settlement process. Exact fee structures are configured per merchant account and are available in your dashboard.
We work with third-party payment processors to facilitate card, bank transfer, and other payment methods. Those providers' own terms and processing timelines also apply to transactions routed through them, and we are not responsible for their availability or performance.
Account Registration
To use the Service as a merchant, you must register for an account and provide accurate, current, and complete information. You are responsible for keeping your account credentials confidential and for all activity that occurs under your account.
We may require identity or business verification (KYC/KYB) before activating your account or enabling certain features, consistent with applicable anti-money-laundering obligations. We may suspend or decline an account where verification cannot be completed or where information provided is found to be false or misleading.
Merchant Obligations
By using the Service, you represent and agree that:
- You will only sell goods or services that are lawful in the jurisdictions where you operate and sell;
- You are responsible for complying with all applicable tax, consumer protection, advertising, and financial regulations that apply to your business;
- The wallet address(es) and settlement details you provide are accurate — we are not responsible for funds sent to an incorrect address you supplied;
- You will not use the Service for fraudulent transactions, money laundering, or to circumvent sanctions or other legal restrictions;
- Information you provide during registration and ongoing use will be kept accurate and current.
Providing false, inaccurate, or incomplete information may result in suspension or termination of your account.
Blockchain Transactions
Where settlement occurs on a public blockchain, you acknowledge that such transactions are generally irreversible once confirmed. AxiomePayments cannot reverse, cancel, or recover a blockchain transaction that has already been confirmed on-chain.
Blockchain networks are operated by independent third parties, and network conditions (congestion, fee fluctuations, temporary outages) are outside our control. We are not liable for delays or failures caused by the underlying blockchain network itself, though we will make reasonable efforts to keep you informed of known issues affecting settlement.
Prohibited Activities
You may not use the Service for any purpose other than its intended use as payment infrastructure. Without limiting the above, you agree not to:
- Use the Service to process payments for illegal goods, services, or activities;
- Attempt to circumvent, disable, or interfere with any security feature of the Service;
- Use automated tools (bots, scrapers, etc.) to access the Service outside of the documented API;
- Attempt to reverse-engineer, decompile, or extract the underlying source code of the Service;
- Impersonate another person or entity, or misrepresent your affiliation with one;
- Interfere with or place undue burden on the Service's infrastructure;
- Use the Service to facilitate money laundering, terrorist financing, or sanctions evasion.
Intellectual Property Rights
Unless otherwise stated, the Service and its original content, features, and functionality are owned by Undercover Payments sp. z o.o. and are protected by Polish and international copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to access and use the Service for its intended business purpose. You may not copy, reproduce, distribute, or create derivative works from the Service or its content without our prior written permission.
Third-Party Links and Services
The Service may link to or integrate with third-party websites, payment processors, or blockchain networks that we do not control. We are not responsible for the content, accuracy, or practices of any third party, and inclusion of a link or integration does not imply our endorsement of it. Use of any third-party service is at your own risk and subject to that party's own terms.
Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect personal data in accordance with the EU General Data Protection Regulation (GDPR) and applicable Polish data protection law.
Term and Termination
These Terms remain in effect for as long as you use the Service. We may suspend or terminate your access, without prior notice, if you breach these Terms, if required by law or regulation, or if we reasonably believe your account poses a fraud, security, or compliance risk.
You may close your account at any time by contacting us; any settlement obligations already in progress at the time of closure will still be completed.
Disclaimers
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, and we do not guarantee the accuracy or completeness of information made available through it.
Limitation of Liability
To the fullest extent permitted by applicable Polish and EU law, Undercover Payments sp. z o.o. and its directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service, even if advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under mandatory provisions of Polish or EU law, including liability for intentional misconduct or gross negligence.
Indemnification
You agree to defend, indemnify, and hold harmless Undercover Payments sp. z o.o., its affiliates, and their respective officers, employees, and agents from any claim, liability, damage, or expense (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any applicable law or third-party right.
Governing Law and Disputes
These Terms are governed by the laws of the Republic of Poland, without regard to conflict-of-law principles, and without prejudice to any mandatory consumer-protection provisions that may apply under the law of your country of residence if you are acting as a consumer.
We encourage resolving disputes informally by contacting us first. Where a dispute cannot be resolved informally, it will be subject to the exclusive jurisdiction of the competent courts of Warsaw, Poland, except where mandatory law provides otherwise.
Changes to These Terms
We may revise these Terms at any time by posting an updated version with a new "Last updated" date. Material changes will be communicated through the dashboard or by email where reasonably practicable. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
Miscellaneous
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remaining provisions continue in full force. Our failure to enforce any right or provision does not waive that right. You may not assign these Terms without our prior written consent; we may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets.
